Short answer. A Chinese BESS EPC contract sits on statutory defaults — the Civil Code's construction-contract chapter and the Construction Project Quality Management Regulation — and on storage-specific rules from the NEA that decide what must be tested, filed and handed over before and after grid connection. Where the contract is silent, those defaults apply; where it guarantees performance, the guarantee is only testable if it names the test and the definition. This guide lists what to look for in six clause groups. It quotes no price, liquidated-damages rate, availability figure or degradation curve.
1. Scope and who holds which interface
The Civil Code defines a construction project contract as one in which the contractor carries out construction and the employer pays the price; the employer may contract with a general contractor or separately with survey, design and construction contractors, and may not split work that should be done by one contractor among several. For a storage project the practical question is where the EPC scope ends: the NEA's 2021 project rules require design, consulting, construction and supervision firms to hold the required qualifications; main equipment must meet standards and pass testing and certification by qualified bodies, with grid-interfacing equipment meeting grid safety requirements; and before grid-connection commissioning the project must complete quality, environmental and fire-protection formalities, with the grid company defining commissioning and acceptance procedures. CNWattHub editorial method: list each of those formalities and each certification, and mark in the contract which party obtains it and by when.
2. Acceptance — what is tested, and by which definition
Under the Civil Code, after completion the employer must promptly carry out acceptance against the construction drawings and specifications and the state-issued construction acceptance codes and quality-inspection standards, and on passing acceptance must pay as agreed and take over the works; the employer may inspect progress and quality at any time without obstructing normal work. The statute names the codes; the contract must name the storage tests.
Two public definition sets can be borrowed. The PNNL/Sandia performance protocol (PNNL-22010 Rev 2, April 2016) defines stored energy as the product of rated power and discharge time at rated power; round-trip energy efficiency as useful energy output divided by energy input over one duty cycle, in percent; response time as the seconds to reach 100% of rated power from rest; ramp rate in MW/s or % of rated power per second; and standby energy loss rate as the energy lost in an activated but idle state including BMS, EMS and other auxiliary loads. It also defines duty-cycle round-trip efficiency (useful output divided by input over a charge/discharge profile representing a specific application), reference-signal tracking, state-of-charge excursions, and energy capacity stability (energy capacity at any time as a percentage of initial energy capacity). IEC 62933-2-1:2017 focuses on unit parameters and testing methods of electrical energy storage systems; storage devices and technologies themselves are outside its scope.
Why this matters: a round-trip-efficiency guarantee without a stated duty cycle and a stated treatment of auxiliary load is not one number but several; a capacity guarantee without a stated discharge rate is not a stored-energy figure under the PNNL definition. CNWattHub editorial method: for each guaranteed value, write into the acceptance annex the definition (which document, which section), the duty cycle, the ambient and state-of-charge conditions, and whether auxiliary consumption is inside or outside the measurement.
3. Grid connection and dispatch obligations
The NEA's 2024 notice on new-type storage grid connection and dispatch (国能发科技规〔2024〕26号, 2 April 2024, valid five years) requires grid companies and dispatch bodies to issue grid-connection rules specifying procedures, standards and grid-interface test requirements; the dispatch body organises grid-connection acceptance and signs the dispatch agreement, and the storage project must complete all grid-interface tests within a set time after connection; storage must have a power control system or coordinated control system, all storage within the dispatch body's jurisdiction must be able to adjust active and reactive power automatically on dispatch instructions and connect to AGC/AVC, and the project unit must file O&M procedures, operating procedures, emergency plans and outage/maintenance plans with the dispatch body. In events endangering power-system safety, all storage within the dispatch area must accept direct unified dispatch, during which the independent-storage charge/discharge price mechanism applies; provinces are to spell out assessment rules for each type of storage.
The technical standard for connection is GB/T 36547-2024 (电化学储能电站接入电网技术规定), a current recommended national standard issued 28 May 2024 and implemented 1 December 2024; the safety code is GB/T 42288-2022 (电化学储能电站安全规程), issued 30 December 2022 and implemented 1 July 2023. This guide cites both from their information pages. Contract questions: who performs and pays for the grid-interface tests, what happens to the schedule if the dispatch body's window is missed, who writes the filed procedures and plans, and whether the EPC's performance guarantee survives a period of direct dispatch.
4. Safety documents the project must produce
The NEA's 2023 Twenty-Five Key Requirements (§2.12) say medium and large storage stations should use mature, high-safety batteries and be cautious with second-life power batteries (which require consistency screening and traceability-based safety assessment against GB/T 36276); battery management systems must provide over/under-voltage, voltage-difference, over-current, over-temperature and temperature-difference protection, preferably with cluster-level isolation; and new, rebuilt or expanded medium and large lithium-ion stations need fixed automatic extinguishing systems whose parameters are verified by module-level real-fire tests at qualified bodies. The five-department 2025 safety notice (国能综通安全〔2025〕65号) requires the project unit to analyse safety conditions and facilities at feasibility stage in a written report, to inspect safety facilities after completion or trial operation and rectify problems, and to conduct a post-commissioning safety evaluation after a period of operation. The 2021 rules add that second-life battery projects must manage battery consistency and traceability and obtain safety-assessment reports from qualified bodies.
For the contract: name the fire-test report for the extinguishing system, the BMS protection list, and the feasibility-stage safety report as deliverables; state who produces the post-commissioning safety evaluation, which falls after the usual EPC handover.
5. Warranty and defects
The Quality Management Regulation (2019 revision) requires a quality warranty letter stating scope, period and responsibilities when the contractor submits the completion acceptance report; sets minimum warranty periods under normal use — the design reasonable-use life for foundations and main structures, 5 years for roof waterproofing, 2 heating/cooling seasons for heating and cooling systems, and 2 years for electrical lines, water pipework, equipment installation and fit-out — with other items agreed between the parties and the period running from the date of passing completion acceptance; and requires the constructor to perform warranty obligations and compensate losses for quality problems within the warranty scope and period. Under the Civil Code, where the works fail to meet the agreed quality for reasons attributable to the constructor, the employer may require free repair, rework or reconstruction within a reasonable period, with liability for any resulting late delivery; the contractor is liable for injury or property loss caused by the works within the reasonable use period for reasons attributable to it; and if the employer fails to supply materials, equipment, site, funds or technical data as agreed, the contractor may extend the schedule and claim standby losses.
The statutory 2-year minimum for equipment installation is a floor on installation, not a battery performance warranty. NREL's O&M best-practices report (2018) says keeping battery temperature within a given range is often a warranty requirement, that elevated temperatures can meaningfully increase capacity degradation, that the balance between warranties, conditioning costs and degradation should be identified at design stage and monitored, and that operating outside recommended ranges can degrade capacity, shorten usable life and possibly void product warranties. Contract questions: does the EPC warranty wrap the battery supplier's warranty or merely pass it through; which party's HVAC design decides whether the temperature condition can be met; and who logs the temperature data the warranty will be judged on.
6. Payment, security and end of life
Under the Civil Code, if the employer fails to pay as agreed the contractor may demand payment within a reasonable period and, failing that — unless the nature of the works makes valuation or auction unsuitable — may agree to have the works valued or ask a court to auction them, with the construction price taking priority from the proceeds; matters not covered by the construction chapter follow the rules on work contracts. The 2021 rules require the project unit to monitor operating status in real time and, when the project reaches its design life or no longer meets safety requirements, to assess and rectify, and to retire the project and report to the filing authority if rectification fails. An EPC contract that ends at handover should still state what design-life and monitoring data the contractor delivers, because the owner's later obligations depend on them.
